These Terms and Conditions ("Terms") govern your access to and use of the software platform and services ("Service") provided by AIKSOL TECHNOLOGIES ("we," "us," or "our").

This document is a legally binding agreement. By using the Service, you ("Client" or "you") agree to be bound by these Terms.

These Terms are supplemented by a formal Service Agreement and Invoice ("Service Agreement") which you must sign. In the event of any conflict between these Terms and your Service Agreement, the terms of the Service Agreement will take precedence.

Age: You must be 18 years of age or older to use the Service. If you are under 18, you may only use the Service with the permission and under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

Account Creation: We will create an administrator account for you to access the Service.

Client Responsibility: You are responsible for creating and managing the accounts for your own employees or agents ("Users"). You are fully responsible and liable for all actions and activities conducted by your Users within the Service, including their compliance with these Terms.

Client Data Ownership: As between you and us, you retain all rights and ownership of your Client Data. "Client Data" means all information, data, and content that you or your Users upload, store, or process using the Service.

Our License to Your Data: You grant us a limited, non-exclusive, worldwide, royalty-free license to host, display, process, and transmit your Client Data solely for the purpose of providing and maintaining the Service for you. We will not use your Client Data for any other purpose.

You and your Users agree not to do any of the following:

• Upload, post, or transmit any viruses, malware, or malicious code.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to send unsolicited commercial messages (spam), or to conduct any fraudulent or illegal activities.
• Infringe upon the intellectual property or other rights of any third party.
• Attempt to gain unauthorized access to the Service, or to any other client's accounts or data.

Fees: All fees for the Service will be as specified in your separate Service Agreement and Invoice. Fees are typically invoiced on a monthly or annual basis.

Discount Available for longer commitments: You can save money by paying Quarterly (3 months), Bi-Annually (6 months), or Annually (12 months).

One-Time Payments: Specific services (like setup or custom projects) require a One-Time Payment, as outlined in agreement.

Visiting Charges: On-site support visits requested by you will incur separate Visiting Charges, agreed upon before the visit.

Non-Payment: If timely payment is not received, we reserve the right to apply a late fee and/or suspend or terminate your access (and your Users' access) to the Service. Upon non-payment, we may expire your subscription and all associated user accounts.

Term: The term of your Service will be as defined in your Service Agreement.

Termination by Us: We may suspend or terminate your account immediately if you or your Users commit a serious breach of these Terms, or for failure to pay your fees.

Termination by You: You may terminate your account as defined in your Service Agreement.

The Service is provided on an "as-is" and "as-available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. The Service may be temporarily unavailable for scheduled maintenance or for reasons outside of our reasonable control (e.g., a force majeure event or an outage by our cloud provider, such as AWS).

Our financial liability, warranties, and any disclaimers related to your use of the Service are not governed by these Terms.

All terms, disclaimers, and limitations of liability are exclusively defined in the separate signed Service Agreement between you and AIKSOL TECHNOLOGIES.

You agree to indemnify, defend, and hold harmless AIKSOL TECHNOLOGIES, its officers, directors, and employees from and against any and all claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your (or your Users') violation of these Terms.
• Your (or your Users') use of the Service for any illegal or fraudulent purpose.
• Any claim that your Client Data infringes on the rights of a third party.

These Terms are governed by and construed in accordance with the laws of Pakistan. Any legal action or proceeding arising under these Terms will be handled exclusively in the courts located in Punjab, Pakistan.

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by sending an email to the account administrator you have designated. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.
