These Terms and Conditions ("Terms") govern your access to and use of the software platform and services ("Service") provided by AIKSOL TECHNOLOGIES ("we," "us," or "our").

This document is a legally binding agreement. By using the Service, you ("Client" or "you") agree to be bound by these Terms.

These Terms are supplemented by a formal Service Level Agreement agreementand Commercial Invoice ('Service Agreement') executed between the parties. In the event of any inconsistency between these Terms and your executed Service Agreement Agreement, the specific provisions of the Service Agreement Agreement shall prevail.

Age:You must be at least 18 years of age and possess the legal authority to enter into binding enterprise contracts to utilize the Services.

Account Creation:We will provision a primary organizational Administrator Account to facilitate your access to the platform.

Client Responsibility:You maintain sole responsibility for creating, provisioning, and administering sub-accounts for your personnel, brokers, and salespersons ('Users'). You are fully responsible and liable for all actions, data modifications, and platform usage conducted under your tenant domain and user accounts.

Client Data Ownership:As between you and AIKSOL TECHNOLOGIES, you retain complete, unencumbered ownership of all Client Data. 'Client Data' includes all buyer records, property inventories, financial transactions, and content uploaded, processed, or generated by you or your Users through the Services.

Our License to Your Data:You grant us a limited, non-exclusive, worldwide, royalty-free license to host, cache, display, process, and transmit your Client Data solely as required to provide, optimize, and maintain the Services. We will not monetize, inspect, or disclose your Client Data for any secondary purpose.

You and your authorized Users agree not to engage in or facilitate any of the following restricted activities:

• Uploading, injecting, or transmitting viruses, ransomware, malicious code, or compromised payload scripts.
• Attempting to decompile, reverse engineer, disassemble, or extract underlying source code from any portion of the platform.
• Utilizing the Services to broadcast unsolicited mass communications (spam) or conduct fraudulent transactions.
• Violating proprietary intellectual property rights, trademarks, or copyrights of AIKSOL TECHNOLOGIES or third parties.
• Attempting unauthorized access to system infrastructure, database partitions, or records belonging to other tenants.

Fees:Subscription tiers, licensing scopes, and recurring fees are set forth in your executed Service Agreement Agreementand Invoice. Software subscriptions are billed periodically on a Monthly or Annual cycle.

Discount Available:Multi-period commitments: Preferential enterprise rates apply when opting for Quarterly (3-month), Semi-Annual (6-month), or Annual (12-month) billing schedules.

One-Time Payments:Specialized onboarding modules, custom workflow implementations, and bespoke integration pipelines are billed as separate One-Time Service Fees as outlined in the proposal.

Visiting Charges:Requested on-site technical support visits or specialized training workshops are subject to separate Dispatch Charges, confirmed prior to deployment.

Non-Payment:If remittance is not cleared by the stated invoice due date, we reserve the right to assess standard late payment fees and/or suspend tenant access until account reconciliation is completed.

Term:The active subscription term and renewal provisions are governed by your individual Service Agreement.

Termination by Us:We reserve the right to suspend or terminate tenant access immediately upon material breach of these Terms, unauthorized security intrusions, or sustained payment default.

Termination by You:Voluntary subscription termination must be delivered in written form according to the notice period specified in your Service Agreement.

The Services are provided on an 'as-is' and 'as-available' operational basis. While we maintain a high-availability infrastructure, we do not warrant uninterrupted or error-free execution. Access may be momentarily throttled for scheduled updates maintenanceor due to infrastructure circumstances beyond our reasonable control, such as telecommunication outages or cloud host provider disruptions.

Our complete financial liabilities, statutory warranties, and liability limitations regarding your operational use of the platform are explicitly defined by contract.

All operational disclaimers, liability caps, and indemnities are governed exclusively by the mutually executed Service Agreement Agreementestablished between your organization and AIKSOL TECHNOLOGIES.

You agree to indemnify, defend, and hold harmless AIKSOL TECHNOLOGIES, its officers, directors, software engineers, and representatives from and against all legal claims,damages liabilities, settlements, and legal expenses arising directly from:

• Any violation of these Terms by your organization or authorized sub-users.
• Misuse of the platform for unlawful, fraudulent, or unlicensed real estate operations.
• Third-party claims asserting that your uploaded Client Data infringes upon proprietary privacy or intellectual property rights.

These Terms and any contractual disputes arising hereunder shall be interpreted, governed, and enforced pursuant to the applicable laws and judicial jurisdiction designated in your signed Service Agreement.

We reserve the right to refine these Terms to accommodate evolving technical features or statutory regulations. Notice of significant amendments will be delivered directly to your registered administrator's email. Continued system utilization following such updates indicates formal acceptance.
